These Terms of Service constitute a legally binding agreement between you and TradeLetter. By accessing or using the TradeLetter platform, you agree to be bound by these Terms. If you do not agree, do not use the platform. TradeLetter does not provide investment advice and is not a registered investment adviser, broker-dealer, or financial planner.

1. Acceptance of Terms

By creating an account, accessing, or using TradeLetter's platform, website, applications, newsletters, alerts, dashboards, or any related services (collectively, the "Service"), you ("User" or "you") agree to these Terms of Service ("Terms") and all policies incorporated herein by reference, including TradeLetter's Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.

We reserve the right to modify these Terms at any time. Changes will be posted with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

TradeLetter is an AI-powered financial intelligence and market research platform. The Service provides:

  • AI-generated market analysis, commentary, and research reports
  • Macroeconomic trend identification and sector momentum tracking
  • Sentiment analysis, market signal detection, and anomaly identification
  • Curated newsletters, watchlists, alerts, and dashboards
  • Algorithmic pattern recognition and statistical market indicators

TradeLetter is an information and intelligence platform only. It does not:

  • Provide personalized investment advice
  • Execute, facilitate, or intermediate securities transactions
  • Manage, custody, or hold user assets or funds
  • Act as a registered investment adviser, broker-dealer, or fiduciary

3. Financial Disclaimer & No Investment Advice

CRITICAL DISCLAIMER

Nothing on the TradeLetter platform constitutes investment advice, financial advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any security or financial instrument. All content is for informational and educational purposes only.

3.1 Nature of Content

All TradeLetter content — including but not limited to research reports, newsletters, AI-generated insights, dashboards, watchlists, alerts, commentary, charts, analysis, and portfolio discussions — reflects general information, algorithmic analysis, or editorial opinion. Such content:

  • Does not take into account your personal financial situation, investment objectives, risk tolerance, or portfolio composition
  • Is not tailored or personalized to any individual user
  • May not be suitable for your specific circumstances
  • Should not be relied upon as the sole basis for any investment decision

3.2 No Fiduciary Relationship

Your use of TradeLetter does not create a fiduciary relationship, advisory relationship, or any special duty between you and TradeLetter. TradeLetter is not acting as your investment adviser, broker-dealer, financial planner, or securities analyst.

3.3 Independent Decision Making

All investment decisions are made solely at your own discretion and risk. You are solely responsible for conducting your own independent research and due diligence before making any investment decision. TradeLetter strongly recommends consulting a licensed financial adviser, broker, or investment professional before making financial decisions.

3.4 Market Risk Warning

Investing in securities markets involves substantial risk, including the risk of loss of principal. You acknowledge that:

  • Securities markets are volatile and prices fluctuate unpredictably
  • Losses may exceed your initial investment
  • Past performance does not guarantee future results
  • TradeLetter does not guarantee profits, returns, or any particular investment outcome

4. AI-Generated Content Disclaimer

TradeLetter uses artificial intelligence, machine learning models, large language models, and automated data analysis systems to generate, summarize, and interpret financial information. By using the Service, you acknowledge and agree that:

  • AI-generated content may contain inaccuracies, errors, or incomplete information
  • AI models may misinterpret financial data or generate conclusions inconsistent with actual market conditions
  • AI outputs reflect statistical analysis and pattern recognition, not human judgment or regulated financial expertise
  • AI-generated content is not a substitute for professional financial analysis or advice
  • The predictive capability of AI models is inherently limited and uncertain

TradeLetter makes no representations or warranties regarding the accuracy, reliability, completeness, or predictive capability of AI-generated insights. You must independently verify all AI-generated information before relying on it for any financial decision.

5. Performance Disclaimer

TradeLetter may reference market trends, investment scenarios, backtested models, hypothetical examples, or historical patterns. Any such references are subject to the following limitations:

5.1 Hypothetical & Backtested Results

Hypothetical, simulated, or backtested performance results have inherent limitations and do not represent actual trading results. Specifically:

  • Hypothetical results are prepared with the benefit of hindsight
  • They do not reflect actual trading, transaction costs, or slippage
  • They cannot account for market liquidity constraints or real-world execution
  • Emotional or behavioral factors that affect real trading decisions are absent
  • Actual trading results may differ materially from hypothetical results

5.2 No Performance Guarantees

TradeLetter does not guarantee any level of performance, return, or investment outcome. Any reference to potential opportunities, emerging themes, or market signals does not constitute a promise or guarantee of profit.

6. Market Data Disclaimer

TradeLetter may display financial data sourced from third-party providers including exchanges, financial data vendors, public filings, financial APIs, and third-party analytics providers. Such market data, including prices, charts, indicators, earnings data, and market statistics, may be:

  • Delayed (not real-time)
  • Incomplete or subject to revision
  • Inaccurate due to third-party data errors
  • Temporarily unavailable due to data feed outages

TradeLetter does not guarantee the accuracy, completeness, or timeliness of any market data. Users should verify all data with official market sources, including exchange websites or licensed data providers, before making trading decisions. TradeLetter is not responsible for losses arising from reliance on market data displayed on the platform.

7. Forward-Looking Statements

  • Involves inherent risks, uncertainties, and assumptions

8. Algorithmic Analysis Disclaimer

  • Do not constitute automated trading advice or trading instructions
  • Reflect statistical interpretations of historical and current data
  • Are not guaranteed to identify profitable opportunities or avoid losses

Algorithmic outputs are tools for analysis only. All trading decisions remain entirely the User's responsibility.

9. Eligible Users & Account Registration

9.1 Eligibility

The Service is available only to individuals who are at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements.

9.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying TradeLetter immediately of any unauthorized account access

TradeLetter is not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard credentials.

9.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

10. Subscription, Billing & Cancellation

10.1 Subscription Plans

TradeLetter offers subscription-based access to the Service. Subscription plans, pricing, and features are described on the TradeLetter website and are subject to change with reasonable notice.

10.2 Payment

By subscribing, you authorize TradeLetter (or its payment processor) to charge your payment method for the applicable subscription fee on a recurring basis. All fees are exclusive of applicable taxes, which are your responsibility.

10.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. TradeLetter does not provide prorated refunds for partial subscription periods unless required by applicable law.

10.4 Refund Policy

All subscription fees are generally non-refundable except as required by applicable law or as expressly stated in TradeLetter's refund policy published on the website.

10.5 Price Changes

TradeLetter may modify subscription pricing with at least 30 days' prior notice. Your continued use after a price change takes effect constitutes acceptance of the new pricing.

11. Intellectual Property & Content Ownership

11.1 TradeLetter Ownership

All TradeLetter content is protected by copyright, trade secret, and other intellectual property laws. TradeLetter owns all right, title, and interest in and to:

  • AI-generated insights, research reports, and market analysis
  • Proprietary algorithms, models, and analytical systems
  • Newsletters, dashboards, watchlists, and market signals
  • Platform design, software, databases, and technology
  • TradeLetter trademarks, logos, and brand elements

11.2 Limited License

TradeLetter grants you a limited, non-exclusive, non-transferable, revocable personal-use license to access and use the Service solely for your own personal, non-commercial investment research purposes.

11.3 Prohibited Uses

You may not, without TradeLetter's express written consent:

  • Redistribute, republish, or publicly display TradeLetter content
  • Post TradeLetter insights or reports on social media, forums, or other platforms
  • Reproduce content in other paid or free financial services
  • Scrape, extract, or systematically download platform data
  • Use TradeLetter content for commercial purposes
  • Create derivative works based on TradeLetter's proprietary content
  • Reverse engineer, decompile, or disassemble TradeLetter's technology

Violations may result in immediate account termination, pursuit of legal remedies, and claims for financial damages.

12. Subscriber Responsibility

By using TradeLetter, you acknowledge and agree that:

  • You are solely responsible for all investment and financial decisions you make
  • TradeLetter does not manage your investments or portfolio
  • TradeLetter does not execute, monitor, or recommend specific trades
  • You will conduct independent due diligence before making any investment decision
  • You will not hold TradeLetter responsible for investment losses
  • You will use the Service in compliance with all applicable laws and regulations

13. Prohibited Conduct

You agree not to use the Service to:

  • Engage in market manipulation or securities fraud
  • Violate any applicable federal, state, or local laws or regulations
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to TradeLetter systems
  • Use the Service to harass, harm, or defraud others
  • Transmit malicious code, viruses, or harmful data
  • Use automated tools to access the Service without authorization

14. Limitation of Liability

LIMITATION OF LIABILITY — PLEASE READ

To the fullest extent permitted by applicable law, TradeLetter's total liability to you for any claims arising out of or related to the Service shall not exceed the total fees paid by you to TradeLetter in the twelve (12) months immediately preceding the claim.

To the fullest extent permitted by applicable law, TradeLetter shall not be liable for any:

  • Trading losses or investment losses of any kind
  • Lost profits, revenues, or business opportunities
  • Indirect, incidental, special, consequential, or punitive damages
  • Losses arising from reliance on AI-generated content or platform insights
  • Losses arising from inaccurate market data or third-party data errors
  • Losses arising from service interruptions, outages, or platform errors
  • Losses arising from unauthorized account access

These limitations apply regardless of the legal theory under which claims are brought, and even if TradeLetter has been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations; in such jurisdictions, liability is limited to the greatest extent permitted by law.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, TradeLetter disclaims all warranties including:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that AI-generated content will be free from inaccuracies or errors

16. Indemnification

You agree to indemnify, defend, and hold harmless TradeLetter and its officers, directors, employees, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service in violation of these Terms
  • Your reliance on TradeLetter content for investment decisions
  • Your unauthorized redistribution or misuse of TradeLetter content
  • Your violation of any applicable laws or regulations
  • Any third-party claims arising from your use of the Service

17. Regulatory Compliance

17.1 Not a Registered Investment Adviser

TradeLetter operates as a financial information and research platform. TradeLetter is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities regulator. TradeLetter does not provide investment advisory services as defined under the Investment Advisers Act of 1940.

17.2 Not a Broker-Dealer

TradeLetter is not registered as a broker-dealer with FINRA or the SEC. TradeLetter does not facilitate securities transactions, hold customer assets, or act as an intermediary in trades. Users must execute all trades through their own licensed brokerage accounts.

17.3 No Brokerage Relationship

No brokerage relationship is created between TradeLetter and any User. TradeLetter does not hold or custody user funds or securities.

18. Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

18.2 Mandatory Arbitration

Except where prohibited by applicable law, all disputes arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3 Class Action Waiver

You and TradeLetter agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class action, class arbitration, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

18.4 Waiver of Jury Trial

To the extent permitted by applicable law, you and TradeLetter each waive the right to a jury trial in any action arising out of or related to these Terms or the Service.

19. Platform Availability

TradeLetter does not guarantee uninterrupted, real-time, or error-free access to the Service. The platform may experience:

  • Scheduled maintenance downtime
  • Unplanned outages due to technical issues
  • Third-party service interruptions affecting data feeds or integrations
  • Temporary unavailability of specific features or content

TradeLetter will endeavor to provide advance notice of scheduled maintenance and to restore service promptly in the event of unplanned outages. TradeLetter is not liable for any losses arising from service unavailability.

20. Termination

TradeLetter reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or unlawful use of the Service
  • Non-payment of subscription fees
  • Any other reason in TradeLetter's reasonable discretion

Upon termination, your license to use the Service terminates immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, liability limitations, indemnification, and dispute resolution — shall survive.

21. Miscellaneous

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and TradeLetter regarding the Service and supersede all prior agreements.

21.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

21.3 No Waiver

TradeLetter's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign your rights under these Terms without TradeLetter's prior written consent. TradeLetter may assign its rights without restriction.
